1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of MyLawyerPal, a comprehensive practice management Content Management System (CMS) designed for lawyers and law firms ("Service"), operated by Dean I.T. Services ("we," "our," or "us").

By accessing or using MyLawyerPal, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Dean I.T. Services.

MyLawyerPal enables law firms to manage cases, clients, finances, team operations, and related legal practice management functions. Your use of the Service is subject to compliance with all applicable laws and regulations governing the legal profession and data protection.

2. Service Description

MyLawyerPal is a B2B practice management platform that provides:

  • Client and case management tools
  • Client intake and onboarding systems
  • Court case tracking and document management
  • Financial management including invoicing, expenses, and cash flow tracking
  • Retainership management
  • Team and employee management
  • Calendar and task management
  • Office and location management
  • Integrated authentication through Google OAuth via Auth0

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Requirements

3.1 Eligibility

To use MyLawyerPal, you must:

  • Be at least 18 years of age
  • Be a licensed attorney, law firm employee, or authorized representative of a law firm
  • Have the legal authority to bind your law firm to these Terms
  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information

3.2 Account Creation

You may create an account by signing in with Google OAuth authentication through Auth0. By using Google OAuth, you agree to comply with Google's Terms of Service and Privacy Policy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security

You are responsible for:

  • Maintaining the security of your Google account used for authentication
  • Immediately notifying us of any unauthorized use of your account
  • Using strong authentication methods and following security best practices
  • Ensuring that your account information is accurate and up-to-date

4. User Responsibilities

4.1 Legal Compliance

As a user of MyLawyerPal, you agree to:

  • Comply with all applicable laws, regulations, and professional ethics rules governing the practice of law
  • Maintain client confidentiality and attorney-client privilege obligations
  • Comply with all data protection and privacy laws applicable to your jurisdiction
  • Obtain all necessary consents before storing client information in the Service
  • Comply with bar association rules and regulations applicable to your practice

4.2 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data you upload or enter into MyLawyerPal. You represent and warrant that:

  • You have the right to store and process all data you enter into the Service
  • All client information is collected and stored in compliance with applicable laws
  • You have obtained all necessary consents and authorizations required by law
  • Your use of the Service does not violate any third-party rights

4.3 Professional Conduct

You agree to use MyLawyerPal in a professional manner consistent with the standards of the legal profession. You will not use the Service in any way that:

  • Violates attorney-client privilege or confidentiality obligations
  • Breaches professional ethics rules or regulations
  • Compromises the security or integrity of the Service
  • Interferes with other users' access to the Service

5. Acceptable Use Policy

You agree not to use MyLawyerPal to:

  • Violate any applicable local, state, national, or international law or regulation
  • Transmit any content that is unlawful, harmful, threatening, abusive, or defamatory
  • Infringe upon the intellectual property rights of others
  • Upload viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any illegal or unauthorized purpose
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use automated systems or bots to access or interact with the Service without authorization
  • Share your account credentials with unauthorized third parties

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

6. Intellectual Property Rights

6.1 Service Ownership

MyLawyerPal and all related technology, software, designs, graphics, and content are the exclusive property of Dean I.T. Services or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

6.2 User Content

You retain all ownership rights to the data and content you upload or enter into MyLawyerPal ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

  • Store, process, and display your User Content as necessary to provide the Service
  • Create backups and maintain service continuity
  • Analyze usage patterns to improve the Service (in anonymized form)

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe upon any third-party rights.

7. Subscription Terms and Payment

MyLawyerPal may offer subscription plans with different features and pricing tiers. If applicable:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or as specified in your subscription agreement
  • We reserve the right to change subscription fees with 30 days' notice
  • Failure to pay subscription fees may result in suspension or termination of your account
  • You are responsible for all taxes applicable to your subscription

8. Service Availability and Modifications

While we strive to maintain continuous availability of MyLawyerPal, we do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

  • Scheduled maintenance and updates
  • Unscheduled technical issues or emergencies
  • Third-party service interruptions (including Auth0, Google, or cloud infrastructure providers)
  • Force majeure events beyond our reasonable control

We reserve the right to modify, update, or discontinue any feature or functionality of the Service at any time, with or without notice. We will provide reasonable notice for material changes that adversely affect your use of the Service.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, you will lose access to all data stored in your account.

9.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, illegal, or harmful activity
  • You fail to pay required subscription fees
  • Your use of the Service poses a security risk to us or other users
  • We are required to do so by law or legal process

9.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service will immediately cease
  • We may delete or anonymize your account data within 30 days, except as required by law
  • You are responsible for exporting any data you wish to retain before termination
  • All outstanding fees remain due and payable

10. Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYLAWYERPAL AND DEAN VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Cost of procurement of substitute services
  • Claims related to client data, case information, or legal work performed using the Service
  • Damages resulting from service interruptions or unavailability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless Dean I.T. Services, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your User Content or any data you upload to the Service
  • Your infringement of any third-party rights
  • Your breach of client confidentiality or attorney-client privilege obligations

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.

12.2 Dispute Resolution Process

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to:

  1. First attempt to resolve the dispute through good faith negotiation
  2. If negotiation fails, engage in mediation through a mutually agreed mediator
  3. If mediation fails, submit to the exclusive jurisdiction of the courts of General Santos City, Philippines

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dean I.T. Services regarding the use of MyLawyerPal.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.5 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new "Last Updated" date, sending an email notification, or displaying a prominent notice within the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
